D. Boral ARC Acquisition I Corp. is a blank check company, also known as a Special Purpose Acquisition Company (SPAC), incorporated as a BVI business company. Its primary purpose is to complete a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more existing businesses. On August 1, 2025, the Company completed its initial public offering (IPO) by selling 25,000,000 units at an offering price of $10.00 per unit, raising total gross proceeds of $250,000,000. Each unit in the IPO consisted of one Class A ordinary share, with a par value of $0.0001 per share, and one-half of one redeemable warrant. Each whole warrant allows the holder to purchase one Class A ordinary share for $11.50 per share. Concurrently with the IPO, the Company completed a private placement, selling 200,000 private placement units to the Sponsor at $10.00 per unit. Each private placement unit also consisted of one Class A ordinary share and one-half of one redeemable warrant. On August 11, 2025, the IPO underwriters exercised part of their over-allotment option, purchasing an additional 3,000,000 units at $10.00 per unit, which generated gross proceeds of $30,000,000. This over-allotment option closed on August 13, 2025.
