Baxter International Inc., through its subsidiaries, provides a wide range of essential healthcare products. These include sterile intravenous (IV) solutions, infusion systems and devices, parenteral nutrition therapies, inhaled anesthetics, generic injectable pharmaceuticals, surgical hemostat and sealant products, advanced surgical equipment, smart bed systems, patient monitoring and diagnostic technologies, and respiratory health devices. These products are utilized in various healthcare settings such as hospitals, nursing homes, rehabilitation centers, ambulatory surgery centers, doctors' offices, kidney dialysis centers, and by patients at home under physician supervision. The company's global presence and the critical nature of its products and services are important for expanding access to healthcare in both emerging and developed countries. As of December 31, 2025, following the sale of its Kidney Care business, Baxter International Inc. manufactured products in over 20 countries and sold them in over 100 countries. The company was incorporated under Delaware law in 1931. Since January 2023, Baxter International Inc. has undertaken several strategic actions, including the sale of its Kidney Care business. On August 12, 2024, the company entered into an Equity Purchase Agreement with affiliates of Carlyle Group Inc. to sell its Kidney Care business, now known as Vantive Health LLC. The sale was completed on January 31, 2025, for an aggregate purchase price of $3.80 billion in cash, subject to certain adjustments. After these adjustments, the company received approximately $3.71 billion in pre-tax cash proceeds at closing, with net after-tax proceeds of approximately $3.3 billion, before certain post-closing adjustments.
