SOLOWIN HOLDINGS is an exempted limited liability holding company incorporated in the Cayman Islands on July 23, 2021. The company does not have material operations of its own. Its subsidiary, Solomon JFZ, was established under Hong Kong laws on July 25, 2016. The principal place of business for SOLOWIN HOLDINGS is Room 1910-1912A, Tower 3, China Hong Kong City, 33 Canton Road, Tsim Sha Tsui, Kowloon, Hong Kong. From July 2021 to October 2022, the company underwent a corporate reorganization. As part of this, Solowin was incorporated on July 23, 2021, and an ordinary share, par value $1 per share, was allotted and issued to Ogier Global Subscriber (Cayman) Limited, then transferred to Ling Ngai Lok on July 27, 2021. On the same day, Solowin issued an additional 49,999 ordinary shares, par value $1 per share, to Ling Ngai Lok. On June 9, 2022, Ling Ngai Lok transferred 17,000 ordinary shares to Gemini Asia Holdings Limited, 16,500 ordinary shares to Fortune Dynasty Global Limited, and 16,500 ordinary shares to Vulcan Worldwide Holdings Limited. On October 17, 2022, Solowin, Solomon JFZ, and Master Venus Limited completed a share exchange transaction where Master Venus Limited transferred 100% ownership of Solomon JFZ to Solowin.
