Auri Inc.

Auri Inc. is a Delaware holding company that owns all of the issued and outstanding capital stock of Auri Footwear, Inc., a California corporation. The company's common stock trades on the OTC Bulletin Board under the symbol WFSN.OB. From May 2003 to June 29, 2006, its common stock traded under the symbol WFLT.OB. The principal executive offices are located at 1200 N. Coast Highway, Laguna Beach, California 92651, and the telephone number is (949) 793-4045. On February 14, 2011, Auri Inc. entered into a Merger Agreement and Plan of Reorganization with Auri Design Group, LLC and its members. Pursuant to this agreement, Auri Design Group, LLC merged with and into Auri, the wholly owned subsidiary. In exchange, Auri Inc. issued an aggregate of 59,735,360 shares of its common stock to the members of Auri Design Group, LLC. This represented 68.3% of Auri Inc.'s issued and outstanding common stock. In connection with this Reverse Merger, two of the company's stockholders cancelled a total of 74,540,834 shares of common stock, and two other stockholders placed an aggregate of 5,385,804 shares of common stock in escrow. On March 25, 2011, Auri Inc. filed a Definitive Schedule 14C with the SEC and began mailing it to stockholders of record on March 7, 2011. This Schedule 14C related to a change in the company's name from Wellstone Filter Sciences, Inc. to Auri, Inc., which was approved by its Board of Directors and consented to by stockholders owning in excess of a majority of its outstanding common stock.
