AerSale Corp

AerSale Corporation provides full-service support to owners and operators of mid-life commercial aircraft. The company focuses on aircraft that are in the second half of their operating life through their retirement from service, assisting those who may lack the infrastructure or expertise to maintain such aircraft cost-effectively. AerSale Corporation was initially formed as Monocle Acquisition Corporation on August 20, 2018, as a Delaware corporation. On December 22, 2020, Monocle completed a business combination with AerSale Aviation, Inc. (formerly AerSale Corp.). In connection with this transaction, Monocle merged into AerSale Corporation, which survived as the successor issuer. Additionally, Monocle Merger Sub 1 Inc. merged into Monocle, with Monocle surviving as a wholly-owned direct subsidiary of AerSale Corporation. Monocle Merger Sub 2 LLC merged into AerSale Aviation, with AerSale Aviation surviving as a wholly-owned indirect subsidiary of AerSale Corporation. Following the merger, AerSale Aviation changed its name from "AerSale Corp." to "AerSale Aviation, Inc.," and the company changed its name from "Monocle Holdings Inc." to "AerSale Corporation." Immediately after the merger, AerSale Corporation contributed its ownership in Monocle to AerSale Aviation, which continued as a wholly-owned subsidiary of AerSale Corporation.
