AppYea, Inc. was incorporated in South Dakota on November 26, 2012, to acquire, purchase, maintain, and create mobile software applications. The company is currently in the development stage, with no significant revenues and no operating history. On November 1, 2021, AppYea redomiciled to Nevada. On August 2, 2021, AppYea entered into a stock exchange agreement with SleepX Ltd., an Israeli company controlled by AppYea's principal shareholder, Barry Molchadsky. Under this agreement, 1,724 common shares of SleepX were exchanged for 174,595,634 shares of AppYea common stock, resulting in SleepX shareholders holding 80% of AppYea's issued common shares. This agreement was finalized on December 31, 2021, making SleepX a wholly owned subsidiary of AppYea. The issuance of shares to SleepX shareholders was completed in March 2022, following a reverse stock split by AppYea. On July 2, 2021, Mr. Molchadsky acquired 225,000 Shares of Series A Preferred Stock in a private transaction. These Series A Preferred Shares carry 1,000 to 1 voting rights compared to common stock and are convertible into 1,500 to 1 shares of common stock, giving Mr. Molchadsky control of a majority of the company's voting equity capital.
