AltEnergy Acquisition Corp

AltEnergy Acquisition Corp. is a blank check company formed in February 2021 as a Delaware corporation. The company's purpose is to complete a merger, capital stock exchange, asset acquisition, stock purchase, reorganization, or similar transaction with one or more businesses, referred to as its initial business combination. To date, AltEnergy Acquisition Corp. has not engaged in any operations nor generated any revenue. The company is classified as a "shell company" under the Exchange Act of 1934 due to having no operations and nominal assets, which consist almost entirely of cash. On November 2, 2021, the company completed its initial public offering, selling 23,000,000 units. This total included 3,000,000 units sold through the underwriters' exercise of their over-allotment option. Each unit comprised one share of Class A common stock, with a par value of $0.0001 per share, and one-half of one redeemable warrant. Each whole warrant entitles the holder to purchase one share of Class A common stock at an exercise price of $11.50 per share, subject to adjustment. The units were sold at an offering price of $10.00 per unit, resulting in gross proceeds of $230,000,000 for the company. Concurrently with the initial public offering on November 2, 2021, AltEnergy Acquisition Corp. completed a private placement of 12,000,000 warrants to the Sponsor and B. Riley Principal Investments, LLC (BRPI), an affiliate of B. Riley Securities, Inc. These private placement warrants were sold at a price of $1.00 per warrant, generating total gross proceeds of $12,000,000. These securities were issued under the exemption from registration in Section 4(a)(2) of the Securities Act. Before the initial public offering, on March 25, 2021, the company issued 5,750,000 shares of its Class B common stock for an aggregate purchase price of $25,000.
