Subject to shareholder approval, a wholly owned subsidiary of Telomir will merge with TELI, with TELI becoming a wholly owned subsidiary of Telomir. At the effective time of the merger, each outstanding share of TELI Common Stock, $0.0001 par value per share, will be converted into Telomir Common Stock based on the exchange ratio for the merger.
