New Era Energy & Digital, Inc. (NUAI) is a vertically-integrated developer and operator of next-generation digital infrastructure and integrated power assets. The company focuses on accelerating speed-to-power for advanced artificial intelligence (AI) hyperscalers. Initially incorporated in Delaware on November 5, 2020, as Roth CH Acquisition V Co., it was formed to pursue business combinations. Its securities began trading on Nasdaq on December 1, 2021, following an initial public offering. In December 2024, Roth CH Acquisition V Co. reincorporated into Nevada through a merger with Roth CH V Holdings, Inc. Immediately after, the company completed a business combination with New Era Helium Corp., pursuant to an agreement dated January 3, 2024, and amended on June 5, 2024, August 8, 2024, September 11, 2024, and September 30, 2024. The company subsequently changed its name to "New Era Helium, Inc." and then to "New Era Energy & Digital, Inc." In the second half of 2025, NUAI strategically shifted from its legacy natural gas operations to exclusively developing data center campuses. These campuses are designed to assemble and deliver power, land, and connectivity on accelerated timelines, converging behind-the-meter power flexibility with data center development capabilities.
