Meta Seeks Up to $95B in Record Equity Raise to Fund AI Buildout
META sits 22% above its 52-week low of $520.26.
Summary
Meta is going to the market for as much as $95 billion in equity, the largest raise in its history. The package is about $35 billion of common and preferred stock sold now, plus a separate at-the-market program of up to $60 billion that starts after the new non-voting Class C shares begin trading in Q1 2027. Nvidia, AMD and Broadcom have expressed interest in up to a combined $5 billion of Class A shares, a modest offset against the dilution. The scale is the story: Meta burned $2.12 billion of free cash flow in Q3 versus positive $10.63 billion a year earlier, and it just lifted 2026 capex to $135-145 billion with roughly $825 billion of future spending committed. This follows the 8-K and PRE 14C from October 21 creating the Class C stock and the FWP filed this morning launching the $35 billion tranche. Shares fell about 1.4% in morning trading.
At the time of this announcement, META was trading at $632.48 on NASDAQ in the Technology sector, with a market capitalization of approximately $1.6T. The 52-week trading range was $520.26 to $779.82. This news item was assessed with negative market sentiment and an importance score of 9 out of 10. Source: dpa-AFX.
