Affiliate Terms

Participation in the Wiseek Affiliate Program ("the Program") is subject to the following Terms and Conditions. By joining the Program, you confirm that you have read, understood, and agree to be bound by these Terms. Please review them carefully before participating.

Eligibility

Participation is open to individuals aged 18 or older and to legal entities in jurisdictions where such participation is not prohibited by law. By joining, you confirm that you are not violating any laws or regulations in your country of residence. We reserve the right to reject or remove participants at our sole discretion, including if we believe the participant misrepresents Wiseek, violates these terms, or engages in harmful conduct.

Commission Structure

You will earn a 20% recurring commission on the net amount of each eligible payment made by a referred user - provided the user remains an active, paying subscriber. Commissions are not granted for refunded, disputed, fraudulent, or chargeback-related transactions, and may be revoked retroactively. All commissions are calculated after fees, taxes, and applicable discounts. We reserve the right to modify the commission rate, eligibility rules, or payout structure at any time, with prior notice.

Commissions apply only to the initial subscription plan purchased through your referral link. Wiseek reserves the right to determine whether commissions apply to any future upgrades, plan changes, or additional services purchased by the referred user.

Payout Eligibility and Withdrawal Methods

Affiliate earnings are considered confirmed only after successful validation by Wiseek internal systems and at its sole discretion. Once the total confirmed earnings in your affiliate account reach a minimum of $50 USD, the corresponding funds become available for withdrawal.

Withdrawals may be initiated at any time after surpassing this threshold, using any of the payout methods currently supported on the Wiseek platform. Wiseek makes no guarantee regarding the continued availability of any specific payment provider and reserves the right to update, suspend, or replace supported payout methods at any time and without prior notice.

All payout transfers are deemed complete once executed by Wiseek. The company is not liable for any delays, errors, or transfer failures caused by external payment processors, financial institutions, or third-party services. You are solely responsible for ensuring the accuracy and availability of your chosen payment method.

Referral Tracking and Attribution

Referrals are tracked using various technological methods to associate users with your affiliate account, subject to technical limitations and user environment. The effectiveness of attribution may vary depending on browser settings, device type, privacy restrictions, or blocking tools used by the user. In the event of a duplicate referral, dispute, or unclear attribution, Wiseek reserves the exclusive right to determine the referring party and commission eligibility.

Prohibited Conduct and Fraud Prevention

You agree not to engage in any activity that may be deemed abusive, deceptive, unethical, misleading, or in violation of these Terms or any applicable laws. Prohibited activities include, but are not limited to:

• Self-referrals or generating commissions on your own accounts.
• Spamming, bulk unsolicited messaging, or deceptive advertising tactics.
• Misrepresenting Wiseek product, pricing, features, or brand.
• Creating multiple affiliate accounts without authorization.
• Using bots, click farms, or automation to generate fake traffic or clicks.
• Purchasing paid traffic solely for affiliate purposes without written consent.

Wiseek reserves the right to suspend or terminate your participation, withhold or revoke any commissions (including retroactively), and take legal action if fraudulent or abusive behavior is detected or reasonably suspected. All decisions related to fraud detection and enforcement are final and made at Wiseek sole discretion.

Program Changes and Termination

Wiseek reserves the right to modify, suspend, or terminate the Affiliate Program at any time, with or without cause and with or without prior notice. This includes but is not limited to changes in:

• Commission rates or eligibility rules
• Payment structure or thresholds
• Tracking technology or attribution logic
• Program availability in certain jurisdictions

In the event of program termination, Wiseek will make reasonable efforts to process any pending eligible commissions, but shall not be obligated to pay any future commissions beyond the termination date. You agree that Wiseek shall not be liable for any costs, losses, or damages resulting from the modification or discontinuation of the program.

Wiseek also reserves the right to modify, restrict, or discontinue any reporting tools, dashboards, or analytics features provided to affiliates at any time, with or without notice, and without any obligation to maintain historical access or data.

No Earnings Guarantee

Participation in the Wiseek Affiliate Program does not guarantee any specific income or earnings. Your success depends entirely on your own efforts, marketing practices, and the behavior of referred users. Wiseek makes no representations regarding your potential income, and past performance is not indicative of future results. You are solely responsible for complying with all applicable tax obligations in your jurisdiction arising from your earnings.

Limitation of Liability

To the maximum extent permitted by law, Wiseek shall not be liable for any direct, indirect, consequential, special, or incidental damages of any kind, arising directly or indirectly from your participation in the Affiliate Program, including but not limited to:

• Loss of actual or anticipated profits
• Loss of data, income, or business opportunities
• Reputational damage
• Technical failures or service interruptions
• Errors in referral tracking or commission disputes
• Reliance on information or reports provided through the system

In any event, Wiseek total aggregate liability to you, for any cause whatsoever, shall not exceed the total amount of commissions actually paid to you during the three months preceding the date of the claim. This limitation shall apply even if Wiseek was aware, or should have been aware, of the possibility of such damages.

Wiseek is not obligated to compensate affiliates for any lost commissions, damages, or opportunities resulting from system downtime, reporting errors, dashboard inaccuracies, delayed data updates, or changes in program features or availability. Affiliates acknowledge that the Program is not classified as a "high-risk" service and participation is entirely at their own risk.

Governing Law and Jurisdiction

These Terms shall be governed by and construed exclusively in accordance with the laws of the State of Israel, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in Tel Aviv, Israel. You hereby irrevocably consent to the personal jurisdiction of such courts and expressly waive any objection based on venue, forum non conveniens, or lack of jurisdiction.

Privacy and Data Usage

By joining the Wiseek Affiliate Program, you acknowledge and agree that Wiseek may collect, store, process, and use your personal information and performance-related data for purposes including, but not limited to: administering and operating the Affiliate Program; monitoring affiliate performance and commission eligibility; detecting fraud or abuse; providing customer and technical support; and complying with legal or regulatory obligations.

Wiseek will take commercially reasonable measures to protect your personal data, in accordance with applicable data protection laws. However, you acknowledge that no system is completely secure, and Wiseek makes no guarantee of absolute protection against unauthorized access or breaches.

You agree not to collect, store, transmit, or misuse any personal data of referred users, and not to use the Wiseek platform or referral system for data harvesting, privacy violations, or non-compliance with any applicable privacy regulations, including but not limited to the GDPR, CCPA, or any relevant local laws.

Termination by Wiseek

Wiseek reserves the right to terminate or suspend your participation in the Affiliate Program at any time, with or without cause, and with or without prior notice. Termination may occur for reasons including, but not limited to: extended inactivity; violation of these Terms or any applicable law; suspected fraud, abuse, or unethical behavior; damage to Wiseek brand, reputation, or operations; or use of misleading or non-compliant promotional methods.

Upon termination, you will forfeit any unpaid commissions that have not yet been confirmed or approved by Wiseek internal systems. Any remaining commissions may be paid out at Wiseek sole discretion, but Wiseek is under no obligation to do so. Termination is final and irreversible unless otherwise stated in writing by Wiseek. Re-enrollment in the program after termination is subject to prior written approval.

Entire Agreement and Amendments

These Terms constitute the full and exclusive agreement between you and Wiseek regarding your participation in the Affiliate Program, and supersede any prior or contemporaneous communications, representations, or understandings, whether written or oral. Wiseek reserves the right to update, modify, or amend these Terms at any time, at its sole discretion. You will be notified of any material changes via email or through an in-platform notice.

Your continued participation in the Affiliate Program after such changes have been made shall constitute your acceptance of the revised Terms. If you do not agree to the updated Terms, your sole remedy is to discontinue your participation in the program. No waiver, modification, or amendment of any provision of these Terms shall be effective unless made in writing and signed by an authorized representative of Wiseek.

Tax Responsibility

You are solely responsible for reporting and paying any taxes due on commissions earned through the Affiliate Program, in accordance with your local laws. Wiseek does not provide tax advice and will not withhold any amounts unless required by law.

Intellectual Property

All Wiseek trademarks, branding, materials, and content remain the exclusive property of Wiseek. You may only use approved promotional assets and must not modify, reproduce, or misrepresent the brand without prior written consent.

Independent Contractor Clause

Participation in the Affiliate Program does not create any employment, partnership, agency, or joint venture relationship between you and Wiseek. You act solely as an independent contractor.

Force Majeure

Wiseek shall not be held liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunication outages, or failures of third-party service providers. In such cases, obligations may be suspended or adjusted without liability.

Indemnification

You agree to indemnify, defend, and hold harmless Wiseek, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your participation in the Affiliate Program; (b) your breach of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any act, omission, misrepresentation, or misconduct by you. This obligation shall survive the termination of your participation in the Program.
